Terms of Service

Welcome to Maria. These Terms of Service ("Terms") govern your access to and use of Maria, an AI-powered Executive Assistant delivered over WhatsApp and related surfaces (the "Service"), operated by Tinkr Labs Private Limited ("Tinkr Labs", "we", "us", or "our"), an entity incorporated in India. By creating an account or using Maria, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Maria is a conversational AI assistant that helps you manage your calendar, tasks, contacts, reminders, and day-to-day coordination through WhatsApp. Maria connects to third-party services you authorize (such as Google Calendar) and uses large language models to understand your requests and respond in natural language.

We update Maria regularly. Features may be added, changed, or removed as the product evolves. We will try to give reasonable notice of material changes that affect you.

2. Eligibility and Account Registration

You must be at least 18 years old and able to form a binding contract in your jurisdiction to use Maria. By signing up, you confirm that you meet this requirement.

To use the Service, you must create an account by providing a valid WhatsApp-enabled phone number, a name, and (where applicable) an email address for billing. You are responsible for keeping your account credentials and WhatsApp device secure. You agree to provide accurate information and to update it as needed. You are responsible for all activity that occurs through your account.

One account is for one individual. You may not share accounts. If you want to deploy Maria for multiple users (for example, in a coaching business), please see our Data Processing Addendum at /legal/data-processing.

3. Subscription, Trial and Billing

Maria is a paid subscription service priced at USD $15 per month, plus applicable taxes. New users get a 7-day free trial, during which no payment is collected. You can cancel at any time during the trial and you will not be charged.

Billing is handled through Stripe. By providing a payment method, you authorize Tinkr Labs and Stripe to charge that payment method on a recurring monthly basis until you cancel. Your subscription renews automatically each month. You can cancel at any time from your account dashboard or by emailing us.

All prices are in US dollars unless stated otherwise. You are responsible for all taxes, GST, or duties applicable to your purchase under Indian or local law. For full details on refunds, please see our Refund Policy.

4. Acceptable Use

You agree to use Maria only for lawful, personal, and reasonable purposes. You will not, and will not attempt to:

• Use Maria to send spam, bulk unsolicited messages, or marketing content to third parties.
• Use Maria to harass, threaten, defame, impersonate, or harm any person.
• Use Maria to transmit content that is illegal, obscene, sexually exploitative of minors, or violates the rights of others.
• Use Maria to send messages that violate WhatsApp's Business Policy or Commerce Policy.
• Attempt to reverse-engineer, probe, or exploit the Service, its underlying AI models, or our infrastructure.
• Use Maria to generate content that infringes intellectual property rights, violates privacy laws, or enables illegal activity.
• Resell, white-label, or sublicense the Service without a separate written agreement.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that, in our reasonable judgment, breach these Terms.

5. AI Limitations and Your Responsibility

Maria uses large language models from Anthropic (Claude) and can make mistakes. Maria may occasionally misunderstand instructions, miss a date, schedule an event incorrectly, omit a detail, or generate text that is incomplete or inaccurate.

You are the human in the loop. Before relying on Maria for anything important — sending a message on your behalf, creating or deleting calendar events, confirming meeting times, or acting on reminders — you should review what Maria produced. You remain solely responsible for the actions you take based on Maria's output.

Maria does not provide medical, legal, financial, tax, or professional advice. Any information Maria surfaces is for your convenience and should not be treated as a substitute for qualified professional judgment.

6. Third-Party Services

Maria integrates with third-party services, including Twilio (messaging delivery), Meta/WhatsApp (messaging surface), Google (calendar access via OAuth), Anthropic (AI models), and Stripe (billing). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for outages, changes, or actions taken by these third parties.

7. Intellectual Property

Your content is yours. You retain all rights in the messages, calendar events, contacts, tasks, notes, and other content you send through Maria ("User Content"). You grant Tinkr Labs a limited, worldwide, non-exclusive, royalty-free license to process your User Content solely for the purpose of operating, providing, securing, and improving the Service for you.

Our software is ours. Tinkr Labs owns all right, title, and interest in and to the Maria software, the Maria brand, our website, our prompts, our system designs, and all related intellectual property. These Terms do not grant you any license to that IP other than the limited right to use the Service.

We do not use your conversations with Maria to train public AI models. Anthropic may process your messages under its API terms to generate responses; see our Privacy Policy for details.

8. Feedback

If you send us ideas, suggestions, or feedback about Maria, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation. You do not have to send us feedback.

9. Suspension and Termination

You can terminate your account at any time from your dashboard or by emailing hello@tinkrlabs.ai. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if: (a) you materially breach these Terms; (b) your use puts the Service, other users, or our third-party providers at risk; (c) you fail to pay amounts owed after reasonable notice; or (d) we are required to do so by law.

On termination, your right to use the Service ends. We will delete your data in line with our Privacy Policy.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Tinkr Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

We do not guarantee that reminders will fire on time, that messages will be delivered, that calendar operations will always succeed, or that any particular feature will continue to be available. Maria depends on third-party networks (WhatsApp, Google, Twilio, Anthropic) that are outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, Tinkr Labs and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, missed meetings, missed reminders, scheduling errors, business interruption, or loss of goodwill, arising from or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to the Service in any 12-month period will not exceed the greater of (a) the amount you paid us for the Service in that 12-month period, or (b) USD $50.

Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for gross negligence, fraud, or wilful misconduct).

12. Indemnification

You agree to indemnify and hold harmless Tinkr Labs from any claim, loss, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Service; (c) your violation of applicable law; or (d) content you send through Maria to third parties.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts at Bengaluru, Karnataka, India, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to the dispute-resolution section below.

14. Dispute Resolution

Before filing a formal claim, you agree to first contact us at hello@tinkrlabs.ai so we can try to resolve the issue informally. We will do the same before making a claim against you. Most issues can be sorted out within 30 days of good-faith discussion.

If we cannot resolve a dispute informally within 30 days, the dispute will be finally settled by arbitration seated in Bengaluru, Karnataka, India, under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The language of arbitration will be English. The decision of the arbitrator will be final and binding. Nothing in this section prevents either party from seeking urgent injunctive relief in the courts at Bengaluru.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect, by email or through Maria itself. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not accept the changes, you can cancel your subscription before the effective date.

16. Miscellaneous

If any part of these Terms is held to be unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and Tinkr Labs regarding the Service and supersede any prior agreements.
